The Statute of Merchantissimo Guild Community
1. Name and purpose of Merchantissimo Guild Community
"The Merchantissimo Guild Community” is the Modern International Association of Merchants, Arts and Crafts.
The Merchantissimo Guild and Community Association, is apolitical and agnostic.
It is structured as an international club, for all people without distinction of sex, race, nationality or ethnic, religion or language, opinions, ideas, politic ideas, economic, demographic and social conditions.
A club with an international network of millions of people, men and women, located in various regions and countries worldwide.
An international club born to meet the needs of different communities worldwide, which engage is addressed to draw benefits coming from international trade.
Its engage is to promote commercial trades, social and cultural connections between Merchants and People of different ethnic groups.
A club which will become a liaison among its members.
It is a the first Social Network born in the electronic trade world and global market.
It helps to support the process of internationalization of the Companies, to accept the challenge of a global market, to interact with all other Members: manufacturers, importers, distributors, restaurateurs, shopkeepers, professional men, artisans, artists and consumers.
It 'a powerful and innovative tool to become competitive, to join and not to remain alone, to improve each other their own offers and performance, to draw benefits and to multiply all the profits, personal and of its own Community, with the smallest waste of energy and financial resources.
2. To become a "M-Merchant" Member
With the purchase of one of Merchantissimo Member Card you automatically become a “M-Merchant”, Member of the Guild Merchantissimo Community.
You have the right to participate to the General Meetings arranged by the Community, known as International Conventions.
3. Profile of Member of Merchantissimo Guild of Community
The "M-Merchant” is an effective Member of Merchantissimo Guild Community, as he is the holder of a Merchantissimo Member Card.
The “M-Merchants” work together to develop trade relations, import-export and economical activities of their country.
They will promote social and solidarity initiatives, art, the manners and culture.
They are “M-Merchants”, which with their own work help to draw an extraordinary image of their country abroad.
4. To become an active and supporter Member, with the right to vote
The Members which have contributed, as Sponsor and/or Partner, to improve and develop the Merchantissimo Guild Community, will become Active Members and Honorary Membership.
The admission of active and supporter Members, with the right to vote to the General Meetings of the Committee, is based on a share, paid by supporter or active Members (supporters and leaders of MyWayBusiness Consulting AG) and to a written declaration of assent, where the Association Statutes are recognized.
The procedure for admission and the leaving of supporter and active Members is followed by the Committee and its Members.
The active Members of General Meetings of the Committee may leave it, with a with a written notice, one month before, for the end of a quarter.
The leaving must be notified by registered letter to the President of the Association, sent to the Headquarter in Zurich. With the legally valid resign, all the rights and obligations of the Member, to participate to the General Meetings of the Committee, will die out.
For non-payment of annual fee (and after two reminders) the Member, which doesn’t confirm his own assent and doesn’t pay his own share, he will be automatically removed.
5. Association’s Organs
The Association’s Organs are: the Board of Directors, established by the Founders members, the Committee, established by Board of Directors and by active and Supporter members, the General Meeting, established by the Committee and all members, holders of a Community Member Card.
6. The General Meetings of Merchantissimo Guild Community
The General Meetings of Association , known as "Merchantissimo Guild Community International Conventions” are one per half-year, held, alternately, in Zurich (Switzerland) and Rome (Italy). To the General Meetings of Association can participate all Members, which hold a Member Card.
Inside of every International Convention takes place a General Meetings of the Committee, that is of all Active and Supporter Members which have the right to vote.
The Board of Directors proposes projects or initiatives that require the approval of the General Meetings of the Committee. The majority wins. In the event of equality, the decision of the President of the General Meetings, is valid.
7. Merchantissimo Guild Community financial tools
The financial funds of the Association are the shares of the members and the funds raised to obtain the goal.
Members do not personally respond of financial commitments of the Association.
8. Roles of the Members
The President with a double collective signature: the Managing Director of MyWay Business Consulting AG in Zurich, a secretary-cashier with collective signature. The Members without the right of signature: the Vice-President, an auditor of accounts, the other founders members and actives and Supporters Members.

9. Merchantissimo Guild Community Home
In every country, thanks to the Members engagement and to the enterprise, Born local units, named Merchantissimo Guild Community Home, as a point of meeting, exchange, support and collaboration for the M-Merchants.
Each Shareholder participates Humanitarian project of the Merchant Guild Community "Together for Commerce, Progress and Solidarity."
Each member will seek contacts and supporters within the borders of their own community and over.
10. Opening of a Merchantissimo Guild Community Home
The M-Merchant meet in a "Merchantissimo Club" in their area of interest and may propose the opening of a local "Merchantissimo Guild Community Home".
The Council of Merchantissimo Guild Community, having the request and the annexed acts, may grant or reject the request, at its sole judgment.
11. Necessary requirements for opening a Merchantissimo Guild Community Home
The Members which propose an opening of a Merchantissimo Guild Community Home, must be three, at least.
They must personally deal, financially and materially search their location and the promotion of activities for the local community.
Each M-Merchant present and future must accept, in writing, the rules of Merchantissimo Guild Community and its regulations.
If the request is accepted, the proposing Members can open their local Merchantissimo Guild Community Home, adding to it, the name of the site and country where it located. For example: Merchantissimo Guild Community Home Zurich, Switzerland.
They can ask to the Head Office the documentation and the support to start their business, through forms that will be sent after the acceptance of the request.
12. Rights and privileges of a Merchantissimo Guild Community Home
Each club and its own Merchantissimo Guild Community Home will have a space on the virtual platform and Merchantissimo can benefit of different services, subsidies, assistance and support of the Head Office in Zurich (Switzerland).
Furthermore, it will have at disposal, a space on “Merchantissimo Journal” and a space on the “Merchantissimo Magazine”, as a means of communication and marketing for its own activities.
Each member of the club shares the same goals and same purposes.
It enjoys privileges, rights, benefits, promotions and conventions arising from the paid share of Membership or by the purchased Member Card of Merchantissimo.
13. Essential Concept
Each Merchant Community, while fully respecting the culture and traditions of his country, is activated for the economic progress of his business; for the economic and social prosperity of his own community; for a reasonable trade, based on values of mutual respect, democracy and civilization.
14. Rights and obligations of the Member
Each M-Merchants, inside the Merchantissimo Guild Community:
- Provides every day a positive and essential contribution to his own community an to the international community;
- Continuously develops local relations and worldwide, with the M-Merchants and the main representatives of the economic business in the world, in order to obtain valid and effective tools instrument for the growth of his own activity;
- Researches the opportunity to increase foreign trade and facilitates his potential benefits for his own community;
- Provides local or international support to the other M-Merchants;
- Signs the agreements of partners, which basing on the cooperation and the respect, they involve mutual advantages both partners of the negotiation;
- Takes care to draw clear advantages, privileges and benefits, for his own community and for the community of the other member, during trade negotiations;
- He is careful and sensitive to humanitarian problems;
- Joins to the programmes, projects and events for local and international communities;
- Supports, according to a given share, by free choice, annually or una-tantum, a Merchantissimo Guild Community Home, and the humanitarian community project, called "Together for the Trade, Progress and Solidarity."
15. The Humanitarian Project
The humanitarian Project "Together for Trade, Progress and Solidarity” is the basis and the purpose of each activity of Merchantissimo Guild Community
16. The General Aim of the humanitarian project "Together for Trade, Progress and Solidarity"
The Merchantissimo Guild Community Homes are responsible for supporting several important projects for the development of local and international trade and for the solidarity, social and economic progress of local and international community, in for the culture, art, education, work, health care, assistance and more.
The Merchant Guild Community aims for the humanitarian project "Together for Trade, Progress and Solidarity", to which the Merchantissimo Guild Community will assign the raised funds are:
• Supporting and holding up:
a. abandoned or needy children
b. scholarships for worthy students
c. incentives, subsidies and training courses for unemployed
d. nursing homes and nursing home for elderly, drugged people, disabled people, sick people, etc.
e. care and operations of rescue for abandoned animals
Supporting and holding up all activities in for the local trade
- Supporting and holding up the process of internationalization of the enterprises.
- Supporting and holding up the economic and social progress of their own country
- Supporting and holding up the welfare of the local and international community, with operations of charity for needy categories and immigration.
17. Request for aid and presentation of the Projects
Each Merchantissimo Guild Community Home, every quarter, will submit a project and a request for funds and subsidies to the Head Office in Zurich, which, after a consultation with all the Members of Merchantissimo Guild Community Council, will consent or reject the requests, or part of them, depending from the verified priorities and needs at the international level.
However, each Member of the Community has the right to submit a project or a request for financial support, in every moment, carefully giving the reason to the request and sending it to the Merchantissimo Guild Home of his area or directly to the Head Office in Zurich, which will submit it, being sure of the effective need, to the Council Meeting, in order to certify or reject the acceptance, at its sole judgment.
18. Partners with similar Associations
The Merchantissimo Guild Community can join, by the adjudication of the Council Meeting of the Members, to the other associations, institutions or organizations with similar aims or similar, if it will be useful to the achievement of its social purposes.
19. Funds and management
The funds arising from the shares and those obtained by Merchantissimo Guild Community Home will be, every year, used to ensure the reported needs, sometimes hardly maintainable by local communities, due to the limited, available financial resources.
MyWay Business Consulting, the company that manages the virtual platform of Merchantissimo, will spontaneously assign, on its own behalf, 1% of every issued card to the Members, to the Merchantissimo Guild Community Home in Zurich (known as Head Office).
Other funds will be collected by Merchantissimo Guild Community Home through the institutional activities, as shows, gala evenings, charity dinners, sporting events or other; through public contributions, coming from public administrations, through grants or contributions coming from public and private bodies, companies or individuals; through funds received during International Conventions and occasional funds through offers of goods of low value.
All goods and property of the Association and support activities, subsidies, management and charities, are listed in a special inventory, lodged in the Head Office and consultable by all the members.
The raised funds through the paid shares by Sponsors and Supporters and all the other funds raised through institutional activities and those directly and indirectly connected, will be distributed:
35% for the assistance and support of charity activities;
20% for the Management of the local Merchantissimo Guild Community Home or country of residence of the supporter Member, or, in the absence of it, to the Head Office;
15% for the assistance and support to the Merchantissimo Guild Community Homes, more disadvantaged and needy;
15% to the Head Office, the Merchantissimo Guild Community Home in Zurich (Switzerland), to be used as an aid to the openings of new Merchantissimo Guild
Community Home worldwide;
15% as account deposit for Big Projects approved by the Council of Merchantissimo Guild Community.
20. Benefit & Sponsorship
The Board of Directors of the Merchantissimo Guild Community has planned various sponsorship and promotional proposals, suitable to the needs and interests of each member.
We identified different levels of membership and contributions, which have specific benefits.
Merchantissimo Guild is always at disposal of the single sponsor, and declares its own flexibility, in order to issue promotional proposals individual needs.
The interested Shareholders may address, without hesitation, their requests for information or requests/proposals for the assent to:
